1. Description of Services
FlexPathPros provides medical
and professional document courier services, including but not limited to the
transport of:
•
Medical documents, lab specimens, pathology samples,
and patient records
•
Legal filings, contracts, and executed agreements
•
Mortgage and title documents, closing packages, and
loan files
•
Corporate correspondence and confidential business
records
Service
Limitation — Please Read
FlexPathPros does NOT
transport machinery, equipment, electronic devices, people, animals,
controlled substances, or hazardous materials beyond standard medical
specimens. Any request involving excluded items will be declined, and
FlexPathPros reserves the right to terminate service immediately if
undisclosed items are submitted for delivery.
2. Eligibility & Account Responsibility
By using our services, you
represent that:

You are at least 18 years of age
•
You are authorized to enter into a binding agreement on
behalf of yourself or your organization
•
All information you provide is accurate, complete, and current
•
You will maintain the confidentiality of any account
credentials and notify us immediately of unauthorized use
3. Service Requests & Scheduling
3.1 Placing a Request
Service requests may be
submitted via our website, phone, or email. All requests are subject to
availability and our confirmation. A request is not confirmed until you receive
written or electronic confirmation from FlexPathPros.
3.2 Cancellations
Cancellations must be made at
least 1 hour before the scheduled pickup time. Late cancellations or no-shows
may be subject to a cancellation fee. FlexPathPros reserves the right to cancel
any service request that violates these Terms.
3.3 Recurring Routes
Clients with standing or
recurring delivery routes must enter into a separate service agreement.
Scheduled routes may be modified or discontinued with 48 hours notice from
either party.
4. Client Responsibilities
As a client using FlexPathPros
services, you agree to:
•
Ensure all items submitted for delivery are properly
packaged, labeled, and sealed
•
Accurately disclose the nature of all items being
couriered — including any special handling requirements
•
Ensure a responsible person is available at both the
pickup and delivery location at the scheduled time
•
Comply with all applicable laws and regulations
governing the materials you submit for transport
•
Not submit any items that are prohibited, illegal,
hazardous beyond standard lab specimens, or excluded from our services
•
Maintain valid contact information on file with
FlexPathPros at all times
Medical
Specimen Clients
Clients submitting medical
specimens are solely responsible for proper collection, containment, and
labeling in accordance with their laboratory's protocols. FlexPathPros
maintains chain of custody during transport but is not responsible for
specimen integrity issues arising from improper collection or packaging.
5. Payments & Billing
5.1 Fees
Service fees are communicated
prior to each delivery run. By confirming a service request, you agree to pay
the quoted fee. Rates may vary based on distance, urgency, package type, and
any applicable surcharges.
5.2 Payment Terms
Payment is due upon invoicing
unless otherwise agreed in writing. FlexPathPros accepts payment via the
methods listed on our website. Late payments may be subject to a 1.5% monthly
interest charge.
5.3 Disputed Charges
Any billing disputes must be
submitted in writing within 7 days of the invoice date. Disputes submitted
after this window may not be honored.
6. Limitation of Liability
Important

This section limits
FlexPathPros’ liability. By using our services, you acknowledge and agree to
these limitations.
To the maximum extent permitted
by applicable law:
•
FlexPathPros is not liable for indirect, incidental,
consequential, special, or punitive damages arising from use of our services
•
Our total liability for any claim arising out of or
relating to a specific delivery shall not exceed the service fee paid for that
delivery
•
We are not responsible for delays caused by traffic,
weather, carrier conditions, or other factors beyond our reasonable control
•
We are not liable for the contents of sealed packages
where the nature of the contents was not disclosed to us
•
We are not responsible for damage to items that were
improperly packaged by the client
Nothing in these Terms limits
liability for gross negligence, willful misconduct, or any liability that
cannot be excluded under applicable law.
7. Indemnification
You agree to indemnify, defend,
and hold harmless FlexPathPros, its owners, employees, and agents from and
against any claims, liabilities, damages, losses, and expenses (including
reasonable legal fees) arising out of or relating to: (a) your use of our
services; (b) your violation of these Terms; (c) any items you submitted for
delivery; or (d) your violation of any applicable law or third-party rights.
8. HIPAA Compliance
For clients who are HIPAA
covered entities or business associates, FlexPathPros operates as a business
associate with respect to the transport of Protected Health Information (PHI).
We will enter into a Business Associate Agreement (BAA) upon request. Our
obligations under any BAA are incorporated into these Terms.

FlexPathPros does not access, review, or use PHI for
any purpose other than performing the requested delivery
•
We maintain appropriate physical and administrative
safeguards for all medical deliveries
•
We will report any security incidents involving PHI to
the covered entity within the timeframe required by applicable law
9. Intellectual Property
All content on the FlexPathPros
website — including text, graphics, logos, images, and software — is the
property of FlexPathPros and is protected by applicable copyright, trademark,
and intellectual property laws. You may not copy, reproduce, distribute, or
create derivative works from our content without our prior written consent.
10. Third-Party Services
Our services integrate with
third-party platforms including Detrack (delivery tracking), payment
processors, and scheduling tools. Your use of those platforms is governed by
their respective terms of service. FlexPathPros is not responsible for the
performance, availability, or data practices of third-party services.
11. Governing Law & Disputes
These Terms are governed by the
laws of the State of California, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or our services shall
first be submitted to good-faith mediation. If mediation fails, disputes shall
be resolved through binding arbitration in accordance with the rules of the
American Arbitration Association.
You waive any right to
participate in a class action lawsuit or class-wide arbitration against
FlexPathPros.
12. Termination of Services
FlexPathPros reserves the right
to suspend or terminate your access to our services at any time, with or
without notice, if we determine you have violated these Terms or if we
discontinue the relevant service. You may also stop using our services at any time.
Outstanding payment obligations survive termination.
13. Changes to These Terms
We may update these Terms from
time to time. The "Last Updated" date at the top reflects the most
recent revision. Continued use of our services after changes are posted constitutes
acceptance of the revised Terms. For material changes, we will make reasonable
efforts to notify active clients.
14. Entire Agreement
These Terms, together with our
Privacy Policy, SMS Terms of Service, Cookie Policy, and any applicable service
agreements, constitute the entire agreement between you and FlexPathPros
regarding your use of our services and supersede all prior agreements or
understandings.
